Ce rapport mettra en \u00e9vidence les \u00e9ventuels conflits\u00a0:</p><p>a. qui peuvent survenir entre les int\u00e9r\u00eats publics de la Conf\u00e9d\u00e9ration et les int\u00e9r\u00eats des entreprises\u00a0;</p><p>b. qui peuvent na\u00eetre du devoir qu'ont les repr\u00e9sentants de la Conf\u00e9d\u00e9ration d'informer la Conf\u00e9d\u00e9ration.</p>","ReasonText":"<p>Aux termes du neuvi\u00e8me principe du rapport sur le gouvernement d'entreprise, la Conf\u00e9d\u00e9ration ne doit dor\u00e9navant \u00eatre repr\u00e9sent\u00e9e dans les conseils d'administration ou d'institut d'entit\u00e9s devenues autonomes par des personnes recevant des instructions que si ses int\u00e9r\u00eats ne peuvent pas \u00eatre d\u00e9fendus ad\u00e9quatement en l'absence de ces repr\u00e9sentants ou si le profil d'exigences du conseil d'administration ou du conseil d'institut le requiert.</p><p>Lorsque la Conf\u00e9d\u00e9ration est repr\u00e9sent\u00e9e, dans des soci\u00e9t\u00e9s anonymes de droit priv\u00e9 (au sens du Code des obligations), par des personnes recevant des instructions, des conflits d'int\u00e9r\u00eats peuvent na\u00eetre entre le mandat que la Conf\u00e9d\u00e9ration a confi\u00e9 \u00e0 ces personnes et les obligations auxquelles elles sont astreintes au sein du conseil d'administration. En vertu du droit de la soci\u00e9t\u00e9 anonyme, ces personnes sont notamment responsables des int\u00e9r\u00eats de la soci\u00e9t\u00e9, ce qui peut engendrer d'\u00e9ventuels conflits entre les int\u00e9r\u00eats publics de la Conf\u00e9d\u00e9ration et les int\u00e9r\u00eats de la soci\u00e9t\u00e9.
