Concr\u00e8tement, la disposition en question pr\u00e9voit que \u00ab nonobstant les al. 1 \u00e0 3, la notification est obligatoire lorsque, au terme d\u2019une proc\u00e9dure engag\u00e9e en vertu de la pr\u00e9sente loi, une d\u00e9cision pass\u00e9e en force \u00e9tablit qu\u2019une entreprise participante occupe en Suisse une position dominante sur un march\u00e9, et lorsque la concentration concerne soit ce march\u00e9, soit un march\u00e9 voisin ou situ\u00e9 en amont ou en aval \u00bb. Cette obligation, qui s\u2019applique ind\u00e9pendamment des seuils fix\u00e9s dans la loi, g\u00e9n\u00e8re une charge de travail consid\u00e9rable aussi bien pour les entreprises que pour l\u2019administration. Elle part certainement d\u2019une bonne intention, mais apporte-t-elle un r\u00e9el b\u00e9n\u00e9fice ? La modernisation du contr\u00f4le des concentrations est au c\u0153ur de la r\u00e9vision partielle en cours de la loi sur les cartels (LCart</span><span style=\"font-family:Arial\">&#xa0;</span><span style=\"font-family:Arial\">; RS</span><span style=\"font-family:Arial\">&#xa0;</span><span style=\"font-family:Arial; font-style:italic\">251</span><span style=\"font-family:Arial\">). Le passage du test de dominance qualifi\u00e9e actuellement utilis\u00e9 au test SIEC (Significant Impediment to Effective Competition) doit permettre d\u2019aligner la norme de contr\u00f4le de la Commission de la concurrence (COMCO) sur la pratique internationale. La diff\u00e9rence fondamentale entre le test de dominance qualifi\u00e9e, appliqu\u00e9 jusqu\u2019ici en Suisse, et le test</span><span style=\"font-family:Arial\">&#xa0;</span><span style=\"font-family:Arial\">SIEC pr\u00e9vu tient au seuil d\u2019intervention. Le test</span><span style=\"font-family:Arial\">&#xa0;</span><span style=\"font-family:Arial\">SIEC permet d\u2019interdire des concentrations de mani\u00e8re plus cibl\u00e9e ou de les soumettre \u00e0 des charges ou \u00e0 des conditions appropri\u00e9es lorsqu\u2019elles entravent de mani\u00e8re significative une concurrence efficace. Actuellement, il n\u2019est possible d\u2019intervenir que si une concentration cr\u00e9e ou renforce une position dominante susceptible de supprimer une concurrence efficace, \u00e0 moins que la concentration am\u00e9liore les conditions de concurrence sur d\u2019autres march\u00e9s. La charge de travail que demande l\u2019examen d\u2019une concentration d\u2019entreprises varie fortement d\u2019un cas \u00e0 l\u2019autre. L\u2019examen pr\u00e9alable pr\u00e9vu \u00e0 l\u2019art.</span><span style=\"font-family:Arial\">&#xa0;</span><span style=\"font-family:Arial\">32, al.</span><span style=\"font-family:Arial\">&#xa0;</span><span style=\"font-family:Arial\">1, LCart (phase</span><span style=\"font-family:Arial\">&#xa0;</span><span style=\"font-family:Arial\">1) n\u00e9cessite en moyenne 25</span><span style=\"font-family:Arial\">&#xa0;</span><span style=\"font-family:Arial\">heures. Compte tenu du caract\u00e8re permissif du test de dominance qualifi\u00e9e, les conditions l\u00e9gales pour une intervention sont rarement remplies. Entre 2001 et 2022, la COMCO a proc\u00e9d\u00e9 \u00e0 l\u2019examen de 694</span><span style=\"font-family:Arial\">&#xa0;</span><span style=\"font-family:Arial\">op\u00e9rations de concentration, et seuls 40</span><span style=\"font-family:Arial\">&#xa0;</span><span style=\"font-family:Arial\">cas ont donn\u00e9 lieu \u00e0 un examen de phase</span><span style=\"font-family:Arial\">&#xa0;</span><span style=\"font-family:Arial\">2. La COMCO a pu intervenir avec succ\u00e8s dans 12 de ces cas. Une interdiction est pendante depuis 2017 devant le Tribunal administratif f\u00e9d\u00e9ral, le Tribunal f\u00e9d\u00e9ral ayant \u00e9t\u00e9 saisi \u00e0 deux reprises de l\u2019affaire depuis lors. Toutes les interventions ont \u00e9t\u00e9 r\u00e9alis\u00e9es \u00e0 une p\u00e9riode o\u00f9 une obligation de notifier fond\u00e9e sur les chiffres d\u2019affaires s\u2019appliquait aussi.
