La FINMA a notamment r\u00e9guli\u00e8rement demand\u00e9 \u00e0 Credit Suisse de d\u00e9finir clairement les domaines de responsabilit\u00e9 des cadres sup\u00e9rieurs, d\u2019am\u00e9liorer la gestion d\u2019entreprise (<i>tone at the top</i>) et la situation de la maison m\u00e8re en mati\u00e8re de capitaux et de fournir des donn\u00e9es de qualit\u00e9.<i>&nbsp;</i>La FINMA s\u2019est \u00e9galement montr\u00e9e pr\u00e9occup\u00e9e de ce que la banque ne constituait pas ses fonds propres avec les revenus de ses activit\u00e9s commerciales, mais notamment par le biais d\u2019augmentations de capital. Dans ce contexte, l\u2019autorit\u00e9 de surveillance a r\u00e9prouv\u00e9 les distributions de dividendes aux actionnaires.</p><p>La FINMA a \u00e9galement critiqu\u00e9 la politique de r\u00e9mun\u00e9ration variable \u00e0 l\u2019endroit des cadres sup\u00e9rieurs de Credit Suisse (chap.&nbsp;5.3.1.3). Selon une expertise command\u00e9e par la FINMA, il ne peut \u00eatre reproch\u00e9 \u00e0 cette derni\u00e8re, compte tenu du droit en vigueur, de ne pas avoir exploit\u00e9 toute la marge de man\u0153uvre dont elle disposait dans le cadre de sa pratique r\u00e9cente en mati\u00e8re de surveillance, s\u2019agissant des syst\u00e8mes de r\u00e9mun\u00e9ration. La CEP se rallie aux conclusions de l\u2019expertise. Pour la commission se pose la question de l\u2019efficacit\u00e9 des instruments mis \u00e0 la disposition de la FINMA. Actuellement, aucune base l\u00e9gale explicite ne d\u00e9finit les exigences applicables aux syst\u00e8mes de r\u00e9mun\u00e9ration des \u00e9tablissements financiers.&nbsp;</p><p>La CEP estime important qu\u2019\u00e0 l\u2019avenir les banques d\u2019importance syst\u00e9mique s\u2019appuient sur un syst\u00e8me de r\u00e9mun\u00e9ration qui n\u2019induise pas de mauvaises incitations. Ainsi, les r\u00e9mun\u00e9rations dites variables (prime de r\u00e9sultat) ne devraient pas \u00eatre vers\u00e9es en l\u2019absence de succ\u00e8s commercial.
